General Terms: This User Agreement shall be interpreted in accordance with the laws of the State of California and any claims relating to this User Agreement, or otherwise arising between PK and User, shall be submitted to binding arbitration in the State of California, County of Los Angeles. There are no oral agreements between PK and User. This User Agreement shall be read in conjunction with any and all other written agreements between User and PK, so as to give full and complete effect to all such agreements. In the event of any conflicts between the language of this User Agreement and any other written agreement between PK and User, the terms of this User Agreement shall apply. User agrees that this User Agreement and any rights thereunder may not be transferred, assigned or sublicensed to any other party without the express prior written consent of PK. The terms and restrictions of this User Agreement may only be modified in a writing approved by User and by an authorized principal of PK. PK shall respond by telephone to User's reasonable inquiries regarding the use of the File during PK's normal business hours at PK's main office in Pacific Palisades, California. Any problems arising from and/or related to the File shall be resolved in accordance with the terms of PK's limited warranty as provided hereinabove. The conditions of this agreement are severable and if any conditions of this agreement are determined to be illegal or unenforceable, all other terms shall remain in full force and effect.
